These Terms & Conditions ("Terms") govern your access to and use of the EasyHive website (easyhive.pro) and the services provided by EasyHive ("EasyHive," "we," "us," or "our"), part of the Easy Group. By using the Site or engaging us, you agree to these Terms. If you do not agree, do not use the Site or our services.

The specific scope, deliverables, and timeline for your engagement are set out in a proposal or statement of work ("SOW") agreed between you and EasyHive. Timelines and estimates are made in good faith but are not guarantees; they may shift based on scope changes, third-party dependencies, or the timeliness of your input. Any changes to an agreed scope may require a revised SOW and additional fees.

Delays in providing access, information, or feedback may affect timelines and are not the responsibility of EasyHive.
Upon full payment, you own the custom deliverables we build specifically for you under your SOW. EasyHive retains all rights to its pre-existing tools, frameworks, templates, methodologies, and know-how, including any improvements to them, and may continue to use these in other engagements. Where our deliverables incorporate such pre-existing materials, you receive a non-exclusive license to use them as part of your deliverables.
Our work often involves third-party platforms such as GoHighLevel, Meta, Google, and similar services. You are responsible for your own subscriptions, accounts, fees, and compliance with each platform's terms of service and policies. EasyHive is not responsible for changes, outages, pricing, or policy decisions made by these third parties, or for any resulting impact on the systems we build.
Each party may receive confidential information from the other in the course of an engagement. Both parties agree to keep such information confidential, to use it only as needed to perform under the engagement, and to protect it with reasonable care. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law.
We perform our services with reasonable skill and care. Except as expressly stated in a signed agreement, the Site and our services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.
We do not guarantee specific revenue, growth, lead volume, or other business results. Outcomes depend on many factors outside our control, including your market, offer, execution, and third-party platforms.
To the maximum extent permitted by law, EasyHive and the Easy Group will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Site or our services. Our total aggregate liability for any claim will not exceed the fees you paid to us for the services giving rise to the claim in the three (3) months preceding the event.
Ongoing management engagements run month-to-month after the initial build period. Either party may cancel an ongoing engagement after the initial build period, in line with the notice terms in your SOW. Fees already due remain payable, and any prepaid fees for services not yet performed are handled as described in your SOW. We may suspend or terminate services for non-payment or material breach of these Terms.
These Terms are governed by the laws of the United States and, where applicable, the State of New Jersey, without regard to conflict-of-laws principles. You agree that any dispute arising from these Terms or our services will be subject to the courts located in New Jersey, unless otherwise agreed in writing.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site or our services after changes take effect constitutes acceptance of the updated Terms.
